1. Who you're contracting with
These Terms & Conditions ("Terms") govern your use of the website at knicksnewyork.com and the KnicksNewYork.com membership service (collectively, the "Service"), provided by KnicksNewYork.com ("we", "us", or "our"). By using the Service you are entering into a binding agreement with us.
2. Acceptance of terms
By creating an account, purchasing a membership, or otherwise continuing to use the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. You confirm you are of legal age to enter into this agreement.
3. Description of the Service
KnicksNewYork.com is an independent fan media site covering the New York Knicks. Membership provides access to a members-only weekly newsletter and the ability to post comments on stories. We are not affiliated with the National Basketball Association or the New York Knicks.
4. Account credentials and accuracy
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.
5. Acceptable use
You must not misuse the Service. You agree not to:
- use the Service for any unlawful purpose;
- commit fraud, send spam, or harass other users;
- infringe any intellectual property or other rights;
- upload malware or otherwise interfere with the security or integrity of the Service;
- probe, scan, scrape, or attempt to gain unauthorised access to the Service.
6. User content and comments
You retain ownership of comments and content you post. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, and moderate that content for the purpose of operating the Service. You are responsible for your content and represent that you have the rights to post it.
7. Intellectual property
The Service, including its software, design, branding, logos, and original editorial content, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes within your membership plan. You may not reverse engineer, resell, or redistribute the Service or circumvent its technical limits.
8. Payment, billing and subscriptions
Payments are processed by Stripe, our payment processor. Stripe handles card processing, billing, and renewals on our behalf; their Services Agreement and Privacy Policy apply to the payment portion of any transaction. Membership is a recurring annual subscription that auto-renews until cancelled. You can cancel at any time from the Membership page and will retain access until the end of your current billing period.
9. Suspension and termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive (IP, disclaimers, liability, governing law) will survive termination.
10. Service availability and warranties
The Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where excluding it is prohibited by law.
12. Indemnification
You agree to indemnify and hold us harmless from any claims arising out of your user content, your unlawful use of the Service, or your violation of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of laws rules. Disputes will be resolved exclusively in the state or federal courts located in New York County, New York.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance.
